TERMS AND CONDITIONS OF USE AND SERVICE AGREEMENT

Welcome to our professional network and digital marketplace platform. Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using our website, applications, and services operated by ROCCELH LTD (“us”, “we”, or “our”).
By accessing, registering for, or using our platform in any capacity—including as an employer, corporate client, recruiter, candidate, freelancer, or visitor—you explicitly agree to be bound by these Terms. If you disagree with any part of these terms, you must immediately discontinue use of our platform.
SECTION 1: DEFINITIONS AND INTERPRETATION
- “Platform” refers collectively to the website, mobile applications, and backend databases operated by ROCCELH LTD, including specialized professional networks and project ecosystems.
- “User,” “You,” or “Your” refers to any individual or corporate entity accessing or utilizing the Platform.
- “Employer / Corporate Client” refers to any business entity, agency, or individual utilizing the Platform to source, search, view, or contact professional talent.
- “Candidate / Talent” refers to any individual, including translators, interpreters, and regional alumni, registering to offer professional services, apply for positions, or list their resume.
- “Credits / Packages” refer to digital allotments (such as RSK or CK kits) purchased or acquired to unlock platform features, post jobs, view curricula vitae (CVs), access contact details, or boost profile visibility.
SECTION 2: PLATFORM NATURE (TWO-SIDED MARKETPLACE)
- Intermediary Role: ROCCELH LTD acts exclusively as an online software platform and digital intermediary connecting corporate employers with independent professional talent, specialized contractors, and linguistic experts.
- Independent Status of Users: Users acknowledge that candidates and translators are independent contractors, third-party service providers, or corporate entities, and are not employees, agents, or representatives of ROCCELH LTD. We do not directly employ talent, nor do we guarantee the outcome, quality, accuracy, legality, or safety of any engagement established through the Platform.
SECTION 3: ELIGIBILITY AND ACCOUNT REGISTRATION
- Age and Capacity: You must be at least 18 years of age and possess the legal capacity to enter into a binding contract under applicable law to use this Platform.
- Account Security: When you create an account, you agree to provide accurate, current, and complete information. You are entirely responsible for maintaining the strict confidentiality of your password and login credentials. You accept full liability for all activities, data access, and financial transactions conducted under your account.
- Corporate Accounts and Sub-Accounts: Corporate entities purchasing employer packages may distribute access permissions internally. The primary account holder remains legally responsible for all sub-account activities and compliance with these Terms.
SECTION 4: FINANCIAL TERMS, PACKAGES, AND PRICING
- Package Structure: The Platform operates on pre-paid digital kits, credit allocations, and subscription models (including Employer RSK packages and Candidate CK packages).
- Fees and Purchases: All purchases of Job Posts, CV Views, Contact Unlocks, Application Credits, and Resume Visibility tiers are billed in United States Dollars (USD) or stated regional currencies through our approved payment gateway processors.
- Non-Refundable Policy: All fees, package purchases, and credit additions are strictly non-refundable once the transaction is processed and credits are credited to the user account, except where explicitly required by mandatory consumer protection legislation.
- Credit Expiration and Rollover: Digital credits and package inclusions are bound by specific timeframes (e.g., 7 days, 30 days, 90 days, or 365 days) as specified at the time of purchase. Unused credits expire automatically upon the conclusion of the stated duration unless an approved renewal or extension policy applies.
- Price Modifications: ROCCELH LTD reserves the right to modify package structures, features, and pricing tiers at any time. Price adjustments will not affect active, pre-purchased packages during their current active duration.
SECTION 5: EMPLOYER AND RECRUITER OBLIGATIONS
- Lawful Recruitment: Employers agree to use candidate data, CV views, and contact unlocks solely for legitimate internal recruitment, talent sourcing, and hiring purposes. Harvesting data for third-party databases, unsolicited marketing, or unauthorized commercial activities is strictly prohibited.
- Compliance with Labor Laws: Employers are solely responsible for ensuring that their job listings, contractual terms, compensation structures, and working conditions comply fully with all applicable local and international labor, tax, and employment laws.
SECTION 6: CANDIDATE AND FREELANCER OBLIGATIONS
- Accurate Portrayal: Candidates represent and warrant that all professional backgrounds, language certifications, credentials, educational histories, and portfolio details submitted to their profiles or resumes are completely true, verifiable, and accurate.
- Profile Visibility: Candidates opting for paid Resume Visibility tiers (Highlighted, Featured, or Spotlight) understand that their profile data will be displayed prominently to corporate clients browsing the directory.
SECTION 7: PROHIBITED ACTIVITIES AND CONDUCT
Users are strictly prohibited from engaging in any of the following activities on or through the Platform:
- Violating any local, national, or international laws, regulations, or trade restrictions.
- Posting fraudulent, deceptive, misleading, defamatory, or offensive content.
- Infringing upon or violating the intellectual property rights, privacy rights, or proprietary rights of ROCCELH LTD or any third party.
- Utilizing automated bots, scrapers, crawlers, or unauthorized scripts to harvest user data, emails, phone numbers, or candidate profiles.
- Circumventing, disabling, or interfering with security features, credit consumption tracking mechanisms, or payment structures.
- Sharing, selling, or transferring account access credentials to unauthorized external parties.
SECTION 8: INTELLECTUAL PROPERTY RIGHTS
- Platform Ownership: All source code, database architecture, design layouts, graphics, logos, trademarks, text, scripts, and service names compiled by ROCCELH LTD on the Platform are the exclusive property of ROCCELH LTD. These assets are protected by international copyright, trademark, and intellectual property laws.
- User Content License: By posting resumes, job descriptions, company logos, or reviews, you grant ROCCELH LTD a worldwide, non-exclusive, royalty-free, perpetual license to host, display, format, and utilize such content strictly for the operational delivery and marketing of Platform services.
SECTION 9: PRIVACY AND DATA PROTECTION
- Data Processing: Our collection, storage, and processing of personal data, corporate details, and sensitive communications are governed by our separate Privacy Policy. By utilizing the Platform, you consent to such processing protocols.
- PII Handling: Employers unlocking candidate contact details agree to treat Personally Identifiable Information (PII) with strict confidentiality and in compliance with data privacy regulations.
SECTION 10: DISCLAIMERS AND LIMITATIONS OF LIABILITY
- “As Is” and “As Available” Basis: The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- No Guarantee of Employment or Fit: ROCCELH LTD explicitly disclaims any guarantee that employers will successfully fill open positions, or that candidates will secure employment, projects, or compensation through the Platform.
- Limitation of Liability: To the maximum extent permitted by applicable law, ROCCELH LTD, its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities, arising out of or in connection with your use of the Platform.
SECTION 11: ACCOUNT SUSPENSION AND TERMINATION
ROCCELH LTD reserves the absolute right, in its sole discretion, to suspend, restrict, or terminate any user account, cancel active package credits, or block platform access immediately without prior notice if we detect a breach of these Terms, fraudulent behavior, abusive conduct, or actions creating legal liabilities for the business.
SECTION 12: MODIFICATIONS TO TERMS
We reserve the right to modify, amend, or replace these Terms and Conditions at any time at our sole discretion. Updated versions will be posted directly on this page with a revised “Last Updated” date. Continued use of the Platform following any modifications constitutes your formal acceptance of the revised Terms.
SECTION 13: GOVERNING LAW AND DISPUTE RESOLUTION
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ROCCELH LTD is registered, without regard to conflict of law principles.
- Informal Resolution First: In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree first to attempt to resolve the issue amicably through direct good-faith negotiations.
